Definitions

For purposes of this Agreement, “Breeder” shall mean Jacob Ruehlman and any authorized successor or assign. “Buyer” shall mean the purchaser(s) identified by this Agreement.

1. Payment

1.1 Deposit

A non-refundable deposit of $1,500 is required to reserve a kitten. A kitten is not considered reserved until the deposit has been received. The deposit shall be applied toward the total purchase price. The remaining balance is due at the time of pickup. Accepted forms of payment for deposit are Cash or Zelle. The accepted form of payment for the remaining balance owed is Cash.

1.2 Buyer Cancellation

If the Buyer elects not to proceed with the purchase for any reason, the deposit shall be forfeited.

1.3 Breeder Cancellation Due to Health

If the kitten becomes ill or otherwise unsuitable for placement while in the Breeder’s care after a deposit has been received, all monies paid shall be refunded if a suitable replacement kitten is unavailable.

1.4 Breeder Right to Refuse Sale

The Breeder reserves the right to refuse or cancel the sale of any kitten at the Breeder’s sole discretion.

If cancellation is unrelated to any action or inaction of the Buyer, all monies paid shall be refunded.

If the Buyer fails to communicate, fails to make timely payment, fails to arrange pickup, requests unreasonable extensions, or otherwise delays completion of the sale, the Breeder may retain the non-refundable deposit to compensate for holding the kitten, continued care, scheduling accommodations, and the lost opportunity to place the kitten in another approved home.

Any extension of the pickup date must be approved in writing by the Breeder. Approval of one extension does not obligate the Breeder to approve additional extensions.

If the Buyer fails to complete pickup by the final approved pickup date, the Breeder may cancel the sale, retain the deposit, and place the kitten in another approved home.

2. General Terms

2.1 Pet-Only Placement

This kitten is sold strictly as a companion animal. No breeding rights are included.

2.2 Veterinary Care Prior to Placement

The kitten has received age-appropriate vaccinations and has been examined by a licensed veterinarian prior to leaving the Breeder’s care.

2.3 Registration

The kitten is registered or eligible for registration with the Cat Fanciers’ Association (CFA).

2.4 Pedigree Guarantee

The Breeder guarantees the kitten to be a purebred Maine Coon with an accurate pedigree.

2.5 Transfer of Ownership

Ownership shall not transfer until:

• Full payment has been received.

• This Agreement has been signed by both parties.

• The kitten has been released by the Breeder.

3. Health Guarantee

3.1 Declawing Prohibited

The Buyer agrees the cat shall never be declawed.

3.2 Initial Veterinary Examination

The Buyer agrees to have the kitten examined by a licensed veterinarian within seventy-two (72) hours of pickup.

If the kitten is found to have a serious medical condition existing prior to placement, the Breeder shall accept return of the kitten and refund monies paid only if:

• Written documentation is provided by the examining veterinarian; and

• A second veterinarian selected by the Breeder confirms the diagnosis.

3.3 Genetic Health Guarantee

The Breeder guarantees the kitten against death caused solely by a documented hereditary genetic disorder until twenty-four (24) months of age.

If such death occurs, the Breeder shall provide a replacement kitten when available. If no replacement is available because breeding has ceased, the Breeder shall refund $500.00.

This guarantee excludes:

• Illnesses not caused by inherited genetics

• Injuries

• Parasites

• Environmental causes

• Accidents

• Neglect

• Abuse

The Breeder shall not be responsible for veterinary expenses incurred by the Buyer.

4. Buyer Rights and Responsibilities

4.1 Lifetime Care

The Buyer agrees to provide appropriate food, fresh water, shelter, enrichment, veterinary care, and a safe indoor living environment throughout the cat’s lifetime.

4.2 Veterinary Care

The Buyer agrees to obtain prompt veterinary care whenever reasonably necessary.

4.3 Indoor Only

The cat shall remain indoors at all times except within a fully enclosed and secure outdoor enclosure.

4.4 Confinement

The cat shall not be continuously confined to a cage except when medically necessary or during transportation.

4.5 Transfer of Ownership

The Buyer shall not sell, gift, surrender, lease, transfer, or otherwise dispose of the cat without the Breeder’s prior written consent.

4.6 Return to Breeder

If the Buyer is unable or unwilling to keep the cat at any time during its life, the Breeder shall be contacted immediately.

The cat shall be returned to the Breeder without refund.

No individual other than the original Buyer may assume ownership without the Breeder’s prior written approval and execution of a new purchase agreement.

4.7 Failure to Meet Contract Terms

Failure by the Buyer to comply with any material provision of this Agreement constitutes a material breach of contract. Upon such breach, the Breeder may exercise any rights or remedies available under this Agreement or applicable law, including reclaiming possession and ownership of the cat without refund. The Buyer agrees to immediately surrender the cat upon the Breeder’s written demand following a material breach of this Agreement.

4.8 Unauthorized Breeding

This kitten is sold strictly as a companion animal and without breeding rights. The Buyer shall not intentionally or negligently permit the cat to be bred without the Breeder’s prior written consent. Any unauthorized breeding or pregnancy constitutes a material breach of this Agreement.

The Buyer acknowledges that breeding rights are expressly excluded from this sale and have a value of Twelve Thousand Dollars ($12,000.00) under the Breeder’s breeding program. The Buyer further acknowledges that unauthorized breeding causes substantial economic harm to the Breeder, including unauthorized use of the Breeder’s bloodlines, loss of breeding-rights value, diminished exclusivity, and harm to the Breeder’s breeding program.

Because the actual damages resulting from unauthorized breeding are difficult to determine with precision at the time this Agreement is executed, the parties agree that the Buyer shall pay the Breeder liquidated damages in the amount of Twelve Thousand Dollars ($12,000.00) for any unauthorized breeding. The parties agree that this amount represents a reasonable estimate of the Breeder’s anticipated damages and is not intended as a penalty.

Within thirty (30) days of any unauthorized breeding or pregnancy, the Buyer shall have the cat permanently spayed or neutered by a licensed veterinarian and provide written veterinary documentation to the Breeder. The Buyer authorizes the Breeder to verify such documentation directly with the veterinary clinic.

The Breeder reserves all rights and remedies available under this Agreement and applicable law, including the right to seek injunctive relief and any other equitable or legal remedies necessary to protect the Breeder’s breeding program and bloodlines.

4.9 Spay / Neuter Requirement

The Buyer agrees to have the cat permanently spayed or neutered by six (6) months of age or prior to sexual maturity, whichever occurs first, unless otherwise approved in writing by the Breeder. Written veterinary documentation confirming completion of the procedure shall be provided to the Breeder within seven (7) days of the procedure. The Buyer authorizes the Breeder to verify such documentation directly with the veterinary clinic. Failure to comply constitutes a material breach of this Agreement.

5. Ongoing Contact

5.1 Communication

The Breeder remains available for guidance and support throughout the cat’s lifetime.

5.2 Updates

The Buyer agrees to periodically provide photographs or updates regarding the cat’s health and well-being.

6. Breach of Contract

The remedies provided under this Agreement are cumulative and not exclusive. The Breeder’s failure to enforce any provision of this Agreement shall not constitute a waiver of the right to enforce that provision or any other provision in the future.

In the event of a material breach by the Buyer, the Breeder may pursue any remedy available under this Agreement or applicable law, including, but not limited to, reclaiming possession and ownership of the cat, recovering liquidated damages where applicable, seeking injunctive or equitable relief, and recovering reasonable attorney’s fees and court costs to the extent permitted by applicable law.

Legal Provisions

Time is of the essence with respect to all obligations contained in this Agreement.

Failure by the Breeder to enforce any provision of this Agreement shall not constitute a waiver of the Breeder’s right to enforce that provision or any other provision in the future.

This Agreement shall be governed by the laws of the State of Ohio.

If any provision of this Agreement is determined to be invalid or unenforceable, all remaining provisions shall remain in full force and effect.

This Agreement constitutes the entire agreement between the parties and supersedes all prior oral or written discussions, negotiations, understandings, and representations.

The Buyer acknowledges that they have carefully read this Agreement, fully understand its terms, have had the opportunity to ask questions and seek independent legal advice if desired, and voluntarily agree to be bound by all provisions contained herein.
